Each party is responsible, in accordance with applicable law, for identifying and paying all taxes and other government fees and charges (as well as all penalties, interest and other surcharges) imposed on that party in or in connection with transactions and payments under this Agreement. All fees payable by you are exclusive of indirect taxes. We can and do pay you the applicable indirect taxes that we are required or permitted by law to collect from you. You will provide us with this information to the extent reasonably necessary to determine whether we are required to collect indirect taxes from you. We will not collect indirect taxes and you will not pay indirect taxes for which you provide us with a completed exemption certificate or a certificate of approval for direct payments, for which we can request an available exemption from this indirect tax. All payments you make to us under this Agreement will be made free of charge and without deduction or withholding tax, as required by law. If such deduction or withholding tax (including, but not limited to, cross-border withholding taxes) is required for a payment, you will pay the additional amounts necessary for the net amount received from us to be equal to the amount then due and payable under this Agreement. We will provide you with the tax forms reasonably requested to reduce or eliminate the amount of withholding tax or tax deduction in connection with payments under this Agreement.

The Service Level Agreements we offer with respect to the Services are located in aws.amazon.com/legal/service-level-agreements/ (and any successor or associated location designated by AWS) that may be updated by AWS from time to time. 9.1 General. You will defend, indemnify and hold us, our affiliates and licensors, and each of their respective employees, officers, directors, and agents harmless from and against any loss arising out of or in connection with any third party claims that: (a) your use of the Service Offerings by End Users (including all activities in your AWS Account and use by your employees and employees); (b) breach of this Agreement or breach of applicable law by you, End Users or Your Content; or (c) a dispute between you and an End User. You will reimburse us for reasonable attorneys` fees and the time and equipment of our employees and contractors dedicated to responding to subpoenas from third parties or other mandatory jurisdictions or proceedings in connection with third party claims described in points (a) to (c) above, at our then-current hourly rates. 2.1 To the Services.
We may modify or discontinue the Services from time to time. We will give you at least 12 months` notice if we discontinue the essential functionality of any Service you use or materially modify a customer-facing API that you use in a manner inconsistent with hindsight, except that such notice is not required if the 12-month notice period (a) would pose a security or intellectual property concern to us or the Services. (b) are economically or technically burdensome or (c) would cause us to violate legal requirements. 3.2 Data protection. You can specify the AWS Regions in which your content is stored. You consent to the storage of your Content and the transfer of your Content to the AWS Regions you select.
